1. Introduction and Acceptance

1.1 Agreement to Terms

Welcome to Career-Optimizer.ai ("Platform," "Service," "we," "us," or "our"), a product developed and operated by MOCVIEW Inc. ("MOCVIEW," "Company"), a Delaware corporation with principal offices at 552 Archer Street, Freeport, NY 11520.

By accessing or using Career-Optimizer.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

1.2 Eligibility

You must be at least 18 years old to use this Service. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

1.3 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email to the address associated with your account or through a prominent notice on the Platform at least 30 days before the effective date. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

Career Growth Roadmaps: Personalized career development plans with milestone tracking
Botler AI Companion: Conversational AI assistant with multiple personality archetypes
Career Transition Planning: Tools for navigating career changes and progression
Certification and Skills Catalogs: Curated educational resources and certifications

2.2 AI-Generated Content Disclaimer

Career-Optimizer.ai uses advanced artificial intelligence models, including Anthropic's Claude API, to generate career recommendations, analysis, and guidance. While we strive for accuracy, AI-generated content should not be considered professional career counseling, legal advice, or guaranteed predictions of career outcomes. All recommendations should be evaluated in the context of your individual circumstances.

2.3 Integration with MOCVIEW Services

Career-Optimizer.ai integrates with MOCVIEW's suite of professional services. By using Career-Optimizer.ai, you may access features that share data with other MOCVIEW products through federated single sign-on (SSO) authentication.

3. User Accounts and Authentication

3.1 Account Registration

To access full Platform features, you must create an account by providing:

Valid email address
Secure password meeting our requirements
Full name

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. Providing false information may result in account suspension or termination.

4.2 Billing and Payment

Subscriptions are billed monthly or annually in advance
Payment is processed through secure third-party payment processors
All fees are in USD unless otherwise stated
Taxes may apply based on your location

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings
Cancellations take effect at the end of the current billing period
No refunds are provided for partial months or unused portions of paid subscriptions, except as required by law or as specified in Section 4.5
Upon cancellation, you retain access to paid features until the end of your billing period

4.5 Money-Back Guarantee

New subscribers to paid plans may request a full refund within 14 days of their initial purchase. To request a refund, contact support@career-optimizer.ai.

5. User Content and Data

5.1 Types of User Content

"User Content" includes all information, data, and materials you provide to the Platform, including but not limited to:

Resumes and curriculum vitae
Professional histories and work samples
P3 Assessment responses
Sensitivity Profile data
Chat conversations with Botler
Career goals and preferences
Uploaded documents and files

5.2 Your Rights in User Content

You retain all ownership rights to your User Content. However, by submitting User Content to the Platform, you grant MOCVIEW Inc. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, process, analyze, and store your User Content solely for the purposes of providing and improving the Service.

5.3 Content Restrictions

You agree not to submit User Content that:

Infringes on intellectual property rights of others
Contains false, misleading, or fraudulent information
Violates any applicable laws or regulations
Contains malicious code, viruses, or harmful software
Harasses, defames, or violates the rights of others

5.4 Data Retention

Active Accounts: Your User Content is retained while your account is active
Deleted Accounts: Upon account deletion, most User Content is permanently deleted within 30 days
Chat History: Botler conversations are retained for 90 days, then automatically purged
Backup Systems: Some data may persist in backup systems for up to 90 days after deletion

6. AI Services and Limitations

6.1 AI Technology

Our Platform utilizes advanced AI models, including:

Anthropic Claude for natural language processing and generation
OpenAI embeddings for semantic analysis
Custom multi-agent systems for SWOT analysis
Vector search for job matching

6.2 AI Limitations and Disclaimers

You acknowledge and agree that:

AI-generated recommendations are probabilistic and may contain errors
Career advice is not a substitute for professional career counseling
Job match scores are estimates based on algorithmic analysis
Salary recommendations are based on market data and may not reflect actual offers
Success in career transitions depends on many factors beyond our analysis
We do not guarantee employment outcomes, salary increases, or career success

6.3 No Professional Relationship

Career-Optimizer.ai does not create a professional counselor-client, advisor-advisee, or employment relationship. Our AI tools provide informational guidance only.

7. Intellectual Property

7.1 Platform Ownership

Career-Optimizer.ai, including all software, algorithms, designs, trademarks, logos, and content (excluding User Content), is owned by MOCVIEW Inc. and protected by intellectual property laws.

7.2 Trademarks

"Career-Optimizer," "Botler," "Professional Preference Pyramid," "P3," "Botler Baseline Sensitivity Profile," and associated logos are trademarks of MOCVIEW Inc. You may not use these marks without prior written permission.

7.3 License to Use Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial career development purposes, subject to these Terms.

7.4 Restrictions

You may not:

Reverse engineer, decompile, or disassemble the Platform
Use automated tools to scrape or harvest data
Remove copyright or proprietary notices
Create derivative works
Use the Platform to develop competing services
Access the Platform through unauthorized means

8. Acceptable Use Policy

8.1 Prohibited Activities

You agree not to:

Attempt to gain unauthorized access to the Platform or user accounts
Interfere with or disrupt the Platform's operation
Bypass security measures or rate limits
Distribute malware or harmful code

Abuse and Misuse:

Use the Platform for illegal purposes
Harass, threaten, or impersonate others
Submit false or misleading information
Create multiple accounts to circumvent restrictions
Share your account with others

9. Privacy and Data Protection

Your use of Career-Optimizer.ai is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand our data practices.

9.2 Data Security

Employee access controls

However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

10. Disclaimers and Limitations of Liability

Career-Optimizer.ai is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to: Merchantability, Fitness for a particular purpose, Non-infringement, Accuracy or reliability, and Uninterrupted or error-free operation.

10.2 Career Outcomes

WE EXPLICITLY DISCLAIM ANY WARRANTIES OR GUARANTEES REGARDING:

Job placement or career success
Salary increases or compensation improvements
Accuracy of AI-generated recommendations
Compatibility with specific employers or industries
Success rates of career transitions

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MOCVIEW Inc., its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: Lost profits or revenue, Lost data or business opportunities, Career setbacks or employment losses, Reliance on Platform recommendations, and Third-party conduct or content.

OUR TOTAL LIABILITY for all claims arising from your use of Career-Optimizer.ai shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless MOCVIEW Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use or misuse of the Platform
Your violation of these Terms
Your violation of any rights of third parties
Your User Content
Your breach of applicable laws or regulations

This indemnification obligation survives termination of these Terms and your use of the Platform.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12.2 Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

12.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Binding Arbitration: Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class arbitration or class litigation.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@mocview.com within 30 days of first accepting these Terms.

13. Termination

13.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting support@career-optimizer.ai.

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms
Your payment method fails or is declined
We reasonably believe your account is being used fraudulently
Required by law or legal process
We discontinue the Platform (with 30 days' notice)

13.3 Effect of Termination

Upon termination: Your right to access the Platform ceases immediately, You remain liable for any outstanding fees, Sections that by nature should survive remain in effect, and We will delete your User Content per our Privacy Policy retention schedules.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms, constitute the entire agreement between you and MOCVIEW Inc. regarding Career-Optimizer.ai.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

14.5 International Users

Career-Optimizer.ai is hosted in the United States and intended for users in the United States. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
